1. scope <\/b><\/p>

The\u00adse Gene\u00adral Terms and Con\u00addi\u00adti\u00adons (GTC) app\u00adly to all offers, sales and deli\u00adveries of K\u2011Tech GmbH (we \/ us) to our cus\u00adto\u00admers (buy\u00aders). The GTC app\u00adly exclu\u00adsi\u00adve\u00adly. Devia\u00adting terms and con\u00addi\u00adti\u00adons of the buy\u00ader are only valid if they are con\u00adfirm\u00aded by us in wri\u00adting. The terms and con\u00addi\u00adti\u00adons of the buy\u00ader do not bind us, even if we do not express\u00adly con\u00adtra\u00addict them. <\/p>

Until other\u00adwi\u00adse agreed in wri\u00adting bet\u00adween us and the Buy\u00ader, the\u00adse GTC shall app\u00adly to all pre\u00adsent and future busi\u00adness tran\u00adsac\u00adtions with us, even if no express refe\u00adrence is made to the\u00adse GTC in an indi\u00advi\u00addu\u00adal order. <\/p>

2. offers <\/b><\/p>

Our offers in bro\u00adchu\u00adres, cata\u00adlogs, web stores, pri\u00adce lists and other pro\u00adduct descrip\u00adti\u00adons and docu\u00adments are always sub\u00adject to chan\u00adge until the order is con\u00adfirm\u00aded, even if not spe\u00adci\u00adfi\u00adcal\u00adly agreed. <\/p>

3. orders and order confirmation <\/b><\/p>

Orders shall only be dee\u00admed accept\u00aded by us when they have been con\u00adfirm\u00aded by us in wri\u00adting, by e\u2011mail or by other elec\u00adtro\u00adnic means in the e\u2011commerce pro\u00adcess. If the deli\u00advery is made imme\u00addia\u00adte\u00adly wit\u00adhout our express con\u00adfir\u00adma\u00adti\u00adon, the deli\u00advery shall be dee\u00admed to be our order con\u00adfir\u00adma\u00adti\u00adon at the same time. <\/p>

4. pri\u00adces <\/b><\/p>

Our pri\u00adces are sub\u00adject to chan\u00adge and are valid from the place of dis\u00adpatch (fac\u00adto\u00adry or our regi\u00adstered office) exclu\u00adding value added tax, pack\u00ada\u00adging, post\u00adage, freight, other ship\u00adping char\u00adges, insu\u00adrance, cus\u00adtoms and assem\u00adbly. The increa\u00adse in the pri\u00adce cal\u00adcu\u00adla\u00adti\u00adon occur\u00adring bet\u00adween the con\u00adclu\u00adsi\u00adon of the purcha\u00adse con\u00adtract and the deli\u00advery due to the increa\u00adse of the under\u00adly\u00ading wages, raw mate\u00adri\u00adal pri\u00adces, freight, taxes, cus\u00adtoms duties, levies or other char\u00adges or the ent\u00adry into force of new such char\u00adges shall entit\u00adle us to an appro\u00adpria\u00adte pri\u00adce increa\u00adse to the ext\u00adent per\u00admit\u00adted by law. <\/p>

5. deli\u00advery <\/b><\/p>

The deli\u00advery time is agreed with our order con\u00adfir\u00adma\u00adti\u00adon. The deli\u00advery time shall be dee\u00admed to have been met with the time\u00adly noti\u00adfi\u00adca\u00adti\u00adon of rea\u00addi\u00adness for ship\u00adment. Par\u00adti\u00adal deli\u00adveries may not be rejec\u00adted by the buy\u00ader. Over- and under-deli\u00adveries of up to 10 per\u00adcent of the orde\u00adred goods are per\u00admis\u00adsi\u00adble. An obli\u00adga\u00adti\u00adon to com\u00adply with the agreed deli\u00advery peri\u00adods can only be assu\u00admed under the con\u00addi\u00adti\u00adon of an undistur\u00adbed manu\u00adfac\u00adtu\u00adring process. <\/p>

The con\u00adse\u00adquen\u00adces of force majeu\u00adre, ope\u00adra\u00adtio\u00adnal dis\u00adrup\u00adti\u00adons, strikes, lock\u00adouts, offi\u00adci\u00adal mea\u00adsu\u00adres, pan\u00adde\u00admics, shorta\u00adges of raw and auxi\u00adlia\u00adry mate\u00adri\u00adals at the time of manu\u00adfac\u00adtu\u00adre and other unfo\u00adre\u00adseen cir\u00adcum\u00adstances affec\u00adting us and our sup\u00adpliers entit\u00adle us to can\u00adcel the deli\u00advery obli\u00adga\u00adti\u00adons in who\u00adle or in part. Fail\u00adure to meet deli\u00advery dead\u00adlines con\u00adfirm\u00aded by us shall not entit\u00adle the Buy\u00ader to cla\u00adim dama\u00adges or to can\u00adcel the order. We are entit\u00adled, but not obli\u00adga\u00adted, to make a sub\u00adse\u00adquent deli\u00advery of the can\u00adcel\u00adled quan\u00adti\u00adty of goods. Claims for dama\u00adges due to non-per\u00adfor\u00admance or delay\u00aded per\u00adfor\u00admance are exclu\u00added to the ext\u00adent per\u00admit\u00adted by law. <\/p>

Upon lea\u00adving the place of dis\u00adpatch (fac\u00adto\u00adry or our regi\u00adstered office) or upon noti\u00adfi\u00adca\u00adti\u00adon of rea\u00addi\u00adness for dis\u00adpatch (i.e. upon the first event occur\u00adring), the risk in the goods shall pass to the Buy\u00ader. In the absence of spe\u00adcial ins\u00adtruc\u00adtions, the choice of the trans\u00adport rou\u00adte and the means of trans\u00adport shall be made at our best dis\u00adcreti\u00adon wit\u00adhout any lia\u00adbi\u00adli\u00adty for the che\u00ada\u00adpest and fastest ship\u00adment. Ship\u00adment is always at the risk of the buy\u00ader \u2013 even in the case of car\u00adria\u00adge paid deli\u00advery and in the case of reten\u00adti\u00adon of tit\u00adle. If it is agreed that we orga\u00adni\u00adze the deli\u00advery, our lia\u00adbi\u00adli\u00adty for any auxi\u00adlia\u00adry per\u00adsons is exclu\u00added. Unless other\u00adwi\u00adse agreed, pack\u00ada\u00adging shall be at our dis\u00adcreti\u00adon. It will be char\u00adged at the valid pri\u00adces. We will arran\u00adge trans\u00adport insu\u00adrance only upon express writ\u00adten request of the buyer. <\/p>

6. com\u00adplaints <\/b><\/p>

After rece\u00adipt of the goods, the buy\u00ader is obli\u00adged to inspect them imme\u00addia\u00adte\u00adly with regard to qua\u00adli\u00adty and dama\u00adge or to have them inspec\u00adted and to noti\u00adfy us in wri\u00adting of any defects wit\u00adhout delay, but no later than five days after rece\u00adipt of the goods at the place of deli\u00advery. Defects that can\u00adnot be dis\u00adco\u00adver\u00aded within this peri\u00adod even after careful inspec\u00adtion must be repor\u00adted to us in wri\u00adting imme\u00addia\u00adte\u00adly, at the latest three days after dis\u00adco\u00advery. Com\u00adplaints clai\u00adming that the agreed quan\u00adti\u00adty (num\u00adber of pie\u00adces or weight) has not been deli\u00adver\u00aded must be brought to our atten\u00adti\u00adon in wri\u00adting within two working days of rece\u00adipt of the goods. Other\u00adwi\u00adse, the agreed quan\u00adti\u00adty shall be dee\u00admed to have been deli\u00adver\u00aded. Defects not noti\u00adfi\u00aded within the\u00adse dead\u00adlines are forfeited. <\/p>

7. lia\u00adbi\u00adli\u00adty for defects <\/b><\/p>

We gua\u00adran\u00adtee that our pro\u00adducts are free of manu\u00adfac\u00adtu\u00adring and mate\u00adri\u00adal defects at the time of trans\u00adfer of risk. The limi\u00adta\u00adti\u00adon peri\u00adod for the purchaser\u2019s claims in the event of defects is 12 months. It beg\u00adins with the delivery. <\/p>

We shall only be lia\u00adble for defects in the goods to the fol\u00adlo\u00adwing ext\u00adent: Our lia\u00adbi\u00adli\u00adty for defects shall be limi\u00adt\u00aded to the obli\u00adga\u00adti\u00adon to replace the defec\u00adti\u00adve parts, inso\u00adfar as this is pos\u00adsi\u00adble, with sui\u00adta\u00adble parts free of char\u00adge. The defec\u00adti\u00adve parts shall be retur\u00adned to us upon our request; they shall beco\u00adme our pro\u00adper\u00adty inso\u00adfar as they are repla\u00adced by sui\u00adta\u00adble parts. Com\u00adpen\u00adsa\u00adti\u00adon for dama\u00adges of any kind due to defec\u00adti\u00adve deli\u00advery, in par\u00adti\u00adcu\u00adlar also com\u00adpen\u00adsa\u00adti\u00adon for lost pro\u00adfit, con\u00adse\u00adquen\u00adti\u00adal dama\u00adges, rights of reduc\u00adtion, can\u00adcel\u00adla\u00adti\u00adon, rescis\u00adsi\u00adon or rescis\u00adsi\u00adon are exclu\u00added to the ext\u00adent per\u00admit\u00adted by law. This shall not app\u00adly in the event of frau\u00addu\u00adlent con\u00adce\u00adal\u00adment of the defect. <\/p>

For pro\u00adducts sup\u00adplied by third par\u00adties, we shall only assu\u00adme tho\u00adse obli\u00adga\u00adti\u00adons which our sup\u00adpliers have ente\u00adred into them\u00adsel\u00adves. The return of defec\u00adti\u00adve goods requi\u00adres our pri\u00ador con\u00adsent and must be car\u00adria\u00adge paid. The reme\u00addy of defects by the buy\u00ader may only be car\u00adri\u00aded out with our con\u00adsent. In the event that the buy\u00ader or a third par\u00adty reme\u00addies defects wit\u00adhout our con\u00adsent, we shall not be lia\u00adble for any con\u00adse\u00adquen\u00adces ari\u00adsing the\u00adr\u00ade\u00adf\u00adrom. Exclu\u00added from the lia\u00adbi\u00adli\u00adty is the com\u00adpen\u00adsa\u00adti\u00adon of all direct and indi\u00adrect fur\u00adther dama\u00adges. No lia\u00adbi\u00adli\u00adty shall be assu\u00admed for deli\u00advery parts which, due to their mate\u00adri\u00adal pro\u00adper\u00adties, are sub\u00adject to pre\u00adma\u00adtu\u00adre con\u00adsump\u00adti\u00adon depen\u00adding on their type of use. <\/p>

8. pro\u00adduct use <\/b><\/p>

The appli\u00adca\u00adti\u00adon, use and pro\u00adces\u00adsing of the goods sup\u00adplied by us is exclu\u00adsi\u00adve\u00adly the respon\u00adsi\u00adbi\u00adli\u00adty of the purcha\u00adser. The pro\u00adduct descrip\u00adti\u00adon shall only be con\u00adside\u00adred as non-bin\u00adding infor\u00adma\u00adti\u00adon with regard to pos\u00adsi\u00adble pro\u00adper\u00adty rights of third par\u00adties and does not release the buy\u00ader from his own exami\u00adna\u00adti\u00adon of the pro\u00adducts with regard to their sui\u00adta\u00adbi\u00adli\u00adty for the inten\u00added pro\u00adces\u00adses and pur\u00adpo\u00adses. In par\u00adti\u00adcu\u00adlar, it does not con\u00adtain any assu\u00adran\u00adces of properties. <\/p>

9. reten\u00adti\u00adon of title <\/b><\/p>

Owner\u00adship of the goods shall not pass to the purcha\u00adser until he has sett\u00adled all his lia\u00adbi\u00adli\u00adties ari\u00adsing from the busi\u00adness rela\u00adti\u00adon\u00adship exi\u00adsting with us. The buy\u00ader her\u00adeby decla\u00adres his con\u00adsent to the regi\u00adstra\u00adti\u00adon of the reten\u00adti\u00adon of tit\u00adle in the rele\u00advant regi\u00adster at his place of resi\u00addence \/ domic\u00adi\u00adle. If the asser\u00adti\u00adon of the reser\u00adva\u00adti\u00adon of tit\u00adle beco\u00admes neces\u00adsa\u00adry, we reser\u00adve the right to char\u00adge the buy\u00ader for the costs of the regi\u00adstra\u00adti\u00adon of the reser\u00adva\u00adti\u00adon of title. <\/p>

If the deli\u00adver\u00aded goods or parts the\u00adreof are instal\u00adled in ano\u00adther object, the reten\u00adti\u00adon of tit\u00adle shall not expi\u00adre; rather, co-owner\u00adship shall be dee\u00admed to have been agreed in accordance with the value rati\u00ados of the new object. <\/p>

The buy\u00ader is entit\u00adled to pro\u00adcess or sell the goods deli\u00adver\u00aded under reten\u00adti\u00adon of tit\u00adle in the ordi\u00adna\u00adry cour\u00adse of busi\u00adness. Howe\u00adver, he may not pledge the goods or assign them as secu\u00adri\u00adty. In the event of resa\u00adle or fur\u00adther pro\u00adces\u00adsing, the purcha\u00adser her\u00adeby assigns to us by way of secu\u00adri\u00adty all claims ari\u00adsing from the resa\u00adle tog\u00ade\u00adther with all ancil\u00adla\u00adry rights against the third-par\u00adty debtor up to the amount of the invoice with the aut\u00adho\u00adri\u00adty to coll\u00adect the cla\u00adim on a pro rata basis. <\/p>

Inso\u00adfar as the purcha\u00adser coll\u00adects the assi\u00adgned cla\u00adim its\u00adelf, this shall only be done on a fidu\u00adcia\u00adry basis. The pro\u00adce\u00adeds coll\u00adec\u00adted on our behalf shall be deli\u00adver\u00aded to us imme\u00addia\u00adte\u00adly. At our request, the purcha\u00adser shall be obli\u00adged to noti\u00adfy the secon\u00adda\u00adry purcha\u00adser of the assign\u00adment and to pro\u00advi\u00adde the infor\u00adma\u00adti\u00adon requi\u00adred for the asser\u00adti\u00adon of our rights against the secon\u00adda\u00adry purcha\u00adser. The buy\u00ader must inform us imme\u00addia\u00adte\u00adly of any sei\u00adzu\u00adre or any impair\u00adment of our rights by third parties. <\/p>

In the event that the secon\u00adda\u00adry purcha\u00adser does not pay cash imme\u00addia\u00adte\u00adly, the purcha\u00adser shall reser\u00adve exten\u00added owner\u00adship to us. <\/p>

10. payment <\/b><\/p>

Payments are to be made net 30 days from the date of the invoice, wit\u00adhout any deduc\u00adtion or else as agreed in the order. Howe\u00adver, we reser\u00adve the right to demand advan\u00adce payment if the buy\u00ader is in default of payment to us with other claims or if we beco\u00adme awa\u00adre of the uncer\u00adtain\u00adty of his finan\u00adcial situa\u00adti\u00adon other\u00adwi\u00adse, e.g. through bank\u00adrupt\u00adcy fil\u00ading, other events pur\u00adsu\u00adant to Art. 83 OR, judi\u00adcial or ext\u00adra\u00adju\u00addi\u00adcial sett\u00adle\u00adment appli\u00adca\u00adti\u00adon, exi\u00adsting debt coll\u00adec\u00adtion or default of a gua\u00adran\u00adtor. In this case we are also entit\u00adled to with\u00addraw from the purcha\u00adse contract. <\/p>

Inco\u00adming payments, inso\u00adfar as seve\u00adral claims are out\u00adstan\u00adding, shall in prin\u00adci\u00adple be cre\u00addi\u00adted to the oldest cla\u00adim, irre\u00adspec\u00adti\u00adve of the infor\u00adma\u00adti\u00adon pro\u00advi\u00added by the purcha\u00adser. After expiry of the payment peri\u00adod, default shall occur wit\u00adhout pri\u00ador remin\u00adder and the buy\u00ader shall owe us default inte\u00adrest in the amount of 5% of the rele\u00advant net amount wit\u00adhout remin\u00adder. The buy\u00ader is not entit\u00adled to with\u00adhold payments due to any coun\u00adter\u00adclaims or to set them off against such counterclaims. <\/p>

11. Addi\u00adtio\u00adnal costs<\/strong><\/p>

K\u2011Tech GmbH reser\u00adves the right to char\u00adge addi\u00adtio\u00adnal costs, if during the exe\u00adcu\u00adti\u00adon of an order addi\u00adtio\u00adnal work expen\u00adses ari\u00adse, which were not expli\u00adci\u00adt\u00adly descri\u00adbed in the scope of ser\u00advices. This could be expen\u00adses of any kind, such as dif\u00adfi\u00adcult working con\u00addi\u00adti\u00adons that do not cor\u00adre\u00adspond to the usu\u00adal expec\u00adted stan\u00addard, addi\u00adtio\u00adnal requests devia\u00adting from the scope of ser\u00advices, etc.. If the cus\u00adto\u00admer of K\u2011Tech GmbH on such points is poin\u00adted out, must be taken up with the appro\u00adpria\u00adte K\u2011Tech GmbH pro\u00adject mana\u00adger imme\u00addia\u00adte\u00adly cont\u00adact to the cla\u00adri\u00adfi\u00adca\u00adti\u00adon of the cir\u00adcum\u00adstances. If this does not take place, K\u2011Tech GmbH assu\u00admes that the resul\u00adting addi\u00adtio\u00adnal expen\u00addit\u00adu\u00adre is con\u00adside\u00adred as accepted.<\/p>

12. dra\u00adwings; secrecy <\/b><\/p>

Dra\u00adwings, docu\u00adments and drafts which the purcha\u00adser recei\u00adves from us may not be dis\u00adc\u00adlo\u00adsed by the purcha\u00adser to third par\u00adties. Inf\u00adrin\u00adge\u00adments shall result in full com\u00adpen\u00adsa\u00adti\u00adon for dama\u00adges. Fur\u00adther\u00admo\u00adre, the buy\u00ader is obli\u00adged to return such dra\u00adwings, docu\u00adments and drafts to us upon our request if an order is not placed. <\/p>

13. E\u2011Commerce <\/b><\/p>

If the Buy\u00ader purcha\u00adses goods or ser\u00advices from us via a web\u00adsite or other e\u2011commerce pro\u00adcess, the fol\u00adlo\u00adwing pro\u00advi\u00adsi\u00adon shall app\u00adly in addition: <\/p>

The buy\u00ader is respon\u00adsi\u00adble for the secu\u00adri\u00adty of his pass\u00adword and ack\u00adnow\u00adled\u00adges that purcha\u00adses made using his pass\u00adword are bin\u00adding for him. After suc\u00adcessful regi\u00adstra\u00adti\u00adon, an order can be pla\u00adced. By ente\u00adring the per\u00adso\u00adnal data and clicking the but\u00adton \u201cSend order\u201d in the final step of the orde\u00adring pro\u00adcess, the bin\u00adding order of the goods con\u00adtai\u00adned in the shop\u00adping cart is made. The con\u00adfir\u00adma\u00adti\u00adon of rece\u00adipt of the order fol\u00adlows imme\u00addia\u00adte\u00adly after sen\u00adding the order. The purcha\u00adse con\u00adtract is only con\u00adclu\u00added with our order con\u00adfir\u00adma\u00adti\u00adon (see sec\u00adtion 3). <\/p>

We have made all rea\u00adsonable tech\u00adni\u00adcal efforts to ensu\u00adre that all web\u00adsites and access points are secu\u00adre; howe\u00adver, we dis\u00adcla\u00adim any lia\u00adbi\u00adli\u00adty in the event of misu\u00adse of infor\u00adma\u00adti\u00adon trans\u00admit\u00adted on or from our web\u00adsites and\/or access points by out\u00adsi\u00adders who are not our employees. <\/p>

14. data protection <\/b><\/p>

The buy\u00ader express\u00adly agrees that we may pro\u00adcess his data coll\u00adec\u00adted in the cour\u00adse of the busi\u00adness rela\u00adti\u00adon\u00adship, inclu\u00adding per\u00adso\u00adnal data, for the pur\u00adpo\u00adse of order pro\u00adces\u00adsing, con\u00adtract manage\u00adment, pro\u00adces\u00adsing of war\u00adran\u00adty cases, sup\u00adport and advice, as well as for sta\u00adtis\u00adti\u00adcal eva\u00adlua\u00adtions and to ful\u00adfill legal obli\u00adga\u00adti\u00adons. We will pro\u00adcess the data only as long as it is neces\u00adsa\u00adry to ful\u00adfill the pur\u00adpo\u00adse of use. After the pur\u00adpo\u00adse of use has cea\u00adsed, we will dele\u00adte the data com\u00adple\u00adte\u00adly, unless a lon\u00adger reten\u00adti\u00adon peri\u00adod is requi\u00adred or per\u00admit\u00adted by law. <\/p>

The buy\u00ader also express\u00adly agrees that we are entit\u00adled to dis\u00adc\u00adlo\u00adse his data to other group com\u00adpa\u00adnies and\/or to com\u00admis\u00adsio\u00adned data pro\u00adces\u00adsors in Ger\u00adma\u00adny and abroad. <\/p>

We pro\u00adcess the buyer\u2019s data based on Art. 4 and 6 of the Swiss Data Pro\u00adtec\u00adtion Act. The buy\u00ader is entit\u00adled at any time to recei\u00adve infor\u00adma\u00adti\u00adon free of char\u00adge about his pro\u00adces\u00adsed per\u00adso\u00adnal data and to cor\u00adrect it if neces\u00adsa\u00adry, to rest\u00adrict or pro\u00adhi\u00adbit the fur\u00adther use of this per\u00adso\u00adnal data or to revo\u00adke the con\u00adsent to fur\u00adther data pro\u00adces\u00adsing, to object to fur\u00adther pro\u00adces\u00adsing and to have the per\u00adso\u00adnal data dele\u00adted. In any case, the legal obli\u00adga\u00adti\u00adon to retain data and the man\u00adda\u00adto\u00adry pro\u00adces\u00adsing of per\u00adso\u00adnal data for the ful\u00adfill\u00adment of a con\u00adtract remain reserved. <\/p>

15 Appli\u00adca\u00adble law and place of jurisdiction <\/b><\/p>

The\u00adse GTC as well as all other agree\u00adments bet\u00adween us and the Buy\u00ader con\u00adcer\u00adning the sale or deli\u00advery of goods shall be gover\u00adned by Swiss sub\u00adstan\u00adti\u00adve law to the exclu\u00adsi\u00adon of the Vien\u00adna Con\u00adven\u00adti\u00adon on Con\u00adtracts for the Inter\u00adna\u00adtio\u00adnal Sale of Goods and the appli\u00adca\u00adble con\u00adflict of laws rules. <\/p>

The place of juris\u00addic\u00adtion for all dis\u00adpu\u00adtes in con\u00adnec\u00adtion with the sale or deli\u00advery of the goods is our regi\u00adstered office, curr\u00adent\u00adly in Bal\u00adters\u00adwil, Switz\u00ader\u00adland. Howe\u00adver, we reser\u00adve the right to bring an action befo\u00adre the court at the buyer\u2019s regi\u00adstered office or place of residence. <\/p>
